These Terms, the Website Terms of Use, Privacy and Cookies Policy and the Acceptable Use Policy apply to the sale and ongoing provision of any Product(s). Please read these Terms carefully before purchasing any Product(s). Please click on the Accept button at the end of these Terms to confirm your acceptance of the Terms. If you refuse to accept these Terms, you will not be able to order any Product(s) from our Website. Please print off a copy of these Terms for your records.

www.ezyeducation.co.uk is operated by Ezy EdTech Limited, a company registered in England and Wales with Company Number 14050121 whose registered office is 35 Horn Lane, Acton, London, England, W3 9NJ. VAT Registration Number 412909702.

 

1. Definitions

Access Page: the page accessible by the Authorised Representative to undertake the Tasks.

Authorised Representative: the individual authorised by the School to administer the Products.

Fee: the price for the Product(s) as set out on the Website and/or in any invoice provided to the School.

Materials: the services provided by Ezy EdTech and available to the Nominated Students, details of which are set out on the Website.

Nominated Student: a current student of the School who is not a party to these Terms but who has been nominated by the School to have access to the Product.

Package(s): a combination of the Materials, details of which are set out on the Website.

Product: a Package or any one of the Materials.

School: the educational establishment which purchases the Products from Ezy EdTech.

Task: the additional functions available to the Authorised Representative as set out on the Website.

Terms: these Terms and Conditions.

Website: www.ezyeducation.co.uk

Subscription: the supply of Product(s) by Ezy EdTech to the School on a recurring basis for successive Subscription Periods.

Subscription Period: a period of 12 months from the Subscription Start Date or from any subsequent renewal date, unless otherwise agreed in writing between the School and Ezy EdTech.

Subscription Start Date: the date specified in the relevant invoice or order confirmation, or (if earlier) the date on which Ezy EdTech first provides access to the Product(s) to the School or Nominated Students.

Grace Period: the period of 14 days from the Subscription Start Date of a new or renewed Subscription Period, as described in clause 5.3.

Whole-School Plan: a pricing model under which the School pays a fixed annual Fee per course for a Subscription Period and may enrol an unlimited number of Nominated Students from that School on that course.

Per-Student Plan: a pricing model under which the School pays an annual Fee per Nominated Student per course for a Subscription Period.

 

2. Order Procedure

2.1 Upon placing an order for any Product(s) the School is offering to purchase the Product(s) in accordance with these Terms.

2.2 The School must nominate and provide the name and email address of the individual it wishes to be the Authorised Representative to administer the Product(s) on behalf of the School.

2.3 During the registration process the School will be required to provide details of the Nominated Students including name, username and email address.

2.4 The School will authorise the Nominated Students to access and use the Product(s) and acknowledges that any actions of the Nominated Students will be deemed to have been carried out by the School.

2.5 Upon receipt of the School’s order for the Product(s) the Authorised Representative will receive an email confirming that the order has been received by Ezy EdTech. The order will be subject to acceptance by Ezy EdTech in accordance with this clause.

2.6 A legally binding agreement shall come into existence when Ezy EdTech has accepted the School’s offer to purchase the Product(s) by sending to the Authorised Representative an order acceptance confirmation email and/or issuing an invoice for the Product(s) and/or providing access to the Product(s), whichever occurs first. Payment for the Product(s) will then be due in accordance with clause 3 and the Subscription provisions in clause 5.

2.7 Ezy EdTech reserves the right to withdraw at any time any Product(s) available on the Website.

 

3. Payment

3.1 The Fee for any Product(s) will be displayed on the Website and/or set out in the invoice provided to the School and will be dependent on (i) the number of Nominated Students registered from time to time and/or (ii) the subscription plan (Whole-School Plan or Per-Student Plan) subscribed to. The Fee is exclusive of VAT and payment processing fees.

3.2 At the point of payment Ezy EdTech will direct the School to a secure payment site. Payment processing services are carried out through secure gateways or by BACS.

3.3 Ezy EdTech reserves the right from time to time to change the Fees. The School will be notified before any changes apply to its next Subscription Period.

3.4 The provision of the Product(s) and access to the Website for the Authorised Representative and Nominated Students is subject to Ezy EdTech receiving cleared funds from the School by the due date specified on the invoice or as otherwise agreed in writing. Ezy EdTech may, at its discretion, provide access prior to receipt of cleared funds, but this does not affect the School’s obligation to pay the Fees for the relevant Subscription Period in full.

3.5 Except as expressly set out in these Terms (including under clause 5), Fees are non-refundable and are payable for each Subscription Period irrespective of the level of actual usage of the Product(s) by the School or Nominated Students.

 

4. Pricing Models and Changes of Plan

4.1 Standard pricing models
For school subscriptions, Ezy EdTech currently offers two main pricing models:

(a) Whole-School Plan (per course)
Under the Whole-School Plan, the School pays a fixed annual Fee per course for a Subscription Period and may enrol an unlimited number of Nominated Students from that School on that course. Unless otherwise agreed in writing or updated on the Website, the standard Whole-School Plan Fee for a GCSE course is
£999 + VAT per course per Subscription Period.

(b) Per-Student Plan
Under the Per-Student Plan, the School pays an annual Fee per Nominated Student per course for a Subscription Period. Unless otherwise agreed in writing or updated on the Website, the standard Per-Student Plan Fee is:

  • for GCSE courses: £4.99 + VAT per Nominated Student per course per Subscription Period; and

  • for A-Level courses: £10 + VAT per Nominated Student per course per Subscription Period.

4.2 Plan selection by the School
The applicable pricing model (Whole-School Plan or Per-Student Plan) for each course is chosen by the School according to its needs and will be confirmed in the relevant order confirmation and/or invoice. Ezy EdTech does
not automatically apply whichever model would result in the lower Fee; the plan in force is the one selected by the School and confirmed in writing.

4.3 Changing between plans
The School may request to change the pricing model for a course (for example, from a Whole-School Plan to a Per-Student Plan, or vice versa)
for the next Subscription Period as follows:

  • (a) by giving written notice to Ezy EdTech at least 30 days before the expiry date of the current Subscription Period for that course; or

  • (b) by exercising its rights during the Grace Period under clause 5.3 below (within 14 days of the start of the renewed Subscription Period).

If the School does not give such notice under (a) or (b), the existing pricing model for that course will automatically continue into the next Subscription Period, unless the Subscription is cancelled/terminated in accordance with these Terms.

4.4 No retrospective changes
Changes between the Whole-School Plan and Per-Student Plan cannot be applied retrospectively to reduce or re-calculate Fees for a Subscription Period that has already commenced or ended, except where expressly agreed in writing by Ezy EdTech.

 

5. Subscription Term, Renewal and Cancellation

5.1 Subscription Period
Each Subscription will run for an initial Subscription Period of 12 months from the Subscription Start Date, unless a different period is expressly agreed in writing.

5.2 Automatic renewal and 30-day notice
At the end of each Subscription Period, the Subscription (including the then-current pricing model for each course) will automatically renew for a further 12-month Subscription Period on the then-current Fees for the relevant Product(s),
unless the School has given Ezy EdTech written notice at least 30 days before the expiry date of the current Subscription Period that it does not wish to renew.

5.3 Grace Period (14-day contractual cooling-off / plan change)
At the start of each new Subscription Period, the School will have a 14-day Grace Period from the Subscription Start Date in which it may, by written notice to Ezy EdTech:

  • (a) cancel the renewal of the Subscription for that period; and/or

  • (b) change the pricing model for any course (for example, from Whole-School Plan to Per-Student Plan or vice versa) for that Subscription Period.

If the School cancels under (a) within the Grace Period and has not made substantive pedagogical use of the Product(s) (beyond reasonable administrative set-up and testing), Ezy EdTech will cancel or credit any invoice issued for that renewed Subscription Period and withdraw access to the Product(s) with effect from the end of the Grace Period.

If the School changes plan under (b) within the Grace Period, Ezy EdTech will adjust the applicable Fees for that Subscription Period to reflect the new plan and issue an updated invoice or credit note as appropriate.

After the end of the Grace Period, the School may not cancel that Subscription Period or change the pricing model for that period, save as expressly permitted elsewhere in these Terms.

5.4 Fees after the Grace Period
After the expiry of the Grace Period, if the Subscription remains in place and access to the Product(s) continues for staff and/or students:

  • the full Fee for that Subscription Period becomes due and payable in accordance with the payment terms on the invoice; and

  • the Fee will not be reduced, refunded or re-calculated because of low, partial or non-usage of the Product(s), or because the School wishes to switch between pricing models, during that Subscription Period.

5.5 Ending the Subscription for future periods
The School may end the Subscription for future periods at any time by notifying Ezy EdTech in writing that it does not wish to renew beyond the current Subscription Period, provided such notice is given in accordance with clause 5.2. The Subscription will then end at the end of the current Subscription Period, and no further Subscription Periods will be billed, subject to any minimum term or other commitments expressly agreed in writing.

5.6 This Subscription section applies in addition to, and not in place of, any specific written agreement between Ezy EdTech and the School regarding term, renewal and termination. If there is any conflict, the specific written agreement will prevail.

 

6. Product Details and Access

6.1 A full description of the Product(s) is available on the Website.

6.2 Except as set out in the description of the Product(s) on the Website, no additional materials and/or tuition will be provided by Ezy EdTech.

6.3 Upon receipt of the confirmation email from Ezy EdTech the Authorised Representative will have access to the relevant Product(s) and the Access Page.

6.4 The Nominated Students will receive an email with their login details and system-generated password. The Nominated Students will be required to change their password on their first visit to the Website and their use will be subject to the Website Terms of Use, Privacy and Cookies Policy and the Acceptable Use Policy (“Registration”). Following Registration the Nominated Students will be provided access to the Product(s).

6.5 The Product(s) may only be accessed by the Authorised Representative and the Nominated Students. Neither the School, Authorised Representative nor Nominated Student may transfer their rights to any other person or provide access to the Product(s) to any other person. The School will be responsible for any breach of this provision by the Authorised Representative or Nominated Students and will indemnify and hold harmless Ezy EdTech for any loss or damage incurred by Ezy EdTech in connection with such breach.

6.6 The Authorised Representative will have access to the Access Page, which will include the ability to review the records of activity for each Nominated Student. The system will provide the Authorised Representative with options to download data detailing activity. It is the responsibility of the Authorised Representative to advise Nominated Students that they have access to records of activity.

6.7 The School acknowledges and will notify the Authorised Representative and Nominated Students that charges may be incurred, payable to their internet service providers, whilst they are accessing and/or downloading the Product(s).

6.8 Ezy EdTech operates a zero-tolerance policy in relation to inappropriate behaviour of Nominated Students. Ezy EdTech reserves the right to suspend access to the Product(s) if the School or any of the Nominated Students breaches the Acceptable Use Policy.

6.9 Access to and use of any Products is also subject to compliance with the Website Terms of Use.

 

7. Authorised Representative

7.1 The School may change the Authorised Representative from time to time upon notice to Ezy EdTech.

7.2 The School will ensure that the Authorised Representative is an employee of the School and will notify Ezy EdTech immediately if the Authorised Representative leaves the employment of the School.

 

8. System Requirements

8.1 It is the School’s responsibility to check that the computers to be used by the Nominated Students are compatible with the minimum specification requirements that relate to the Product(s). The School acknowledges and accepts that Ezy EdTech cannot be held responsible for any technical problems encountered by the School or any Nominated Students following the purchase of the Product(s).

8.2 The minimum system requirements are:

  • Broadband connection. Minimum download 1mb, upload 500kb

  • Browser Firefox V19+, Google Chrome V25+, IE V10+

  • Windows XP / 7, MacOS V9+

 

9. Service Support

If any Nominated Students or the Authorised Representative have any issues or problems with the Website or the Product(s) they should email This email address is being protected from spambots. You need JavaScript enabled to view it. explaining the issue.

Ezy EdTech will endeavour to respond to any query within 48 hours of receipt of the email. The School acknowledges that at busy times the response times of Ezy EdTech may be longer but, if no response is received within 48 hours, the School should resend the email.

 

10. Modifications

From time to time Ezy EdTech may make modifications, enhancements or issue clarifications to the Product(s). The Authorised Representative and the Nominated Students will be provided with access to such changes free of charge to the extent that the changes affect the Product(s) ordered.

 

11. Warranties

Ezy EdTech will provide the Product(s) in accordance with the description which is set out on the Website.

Ezy EdTech expects the School to take reasonable care to verify that the Product(s) ordered meet the Nominated Students’ needs. Ezy EdTech does not make any commitment that any Nominated Student will obtain any particular result or obtain any particular qualification from the use of the Product(s).

Ezy EdTech does not make any representation, guarantee or commitment that the Product(s) will be error-free.

 

12. Limitation of Liability

Nothing in this agreement limits or excludes Ezy EdTech’s liability for:

  • death or personal injury caused by its negligence;

  • fraud or fraudulent misrepresentation; or

  • any other liability which cannot be limited or excluded by applicable law.

Subject to the above, Ezy EdTech shall not be liable to the School or any Nominated Student, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with this agreement for:

  • loss of anticipated savings;

  • loss of or damage to goodwill;

  • loss of use or corruption of software, data or information;

  • any indirect or consequential loss.

Subject to the first paragraph of this section, Ezy EdTech’s total liability to the School, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with this agreement shall be limited, in respect of all claims (connected or unconnected) in any consecutive twelve (12) month period, to the equivalent of the Fees paid by the School in that period.

The School agrees not to use the Product(s) for any business or re-sale purposes.

 

13. Events Outside Our Control

Ezy EdTech will not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations that is caused by an Event Outside Our Control.

An Event Outside Our Control means any act or event beyond Ezy EdTech’s reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, failure of public or private telecommunications networks or the non-performance of any suppliers to Ezy EdTech including any failure of or disruption to any third-party software used by Ezy EdTech.

If an Event Outside Our Control takes place that affects the performance of Ezy EdTech’s obligations:

  • Ezy EdTech will contact the Authorised Representative as soon as reasonably possible; and

  • Ezy EdTech’s obligations will be suspended and the time for performance of its obligations will be extended for the duration of the Event Outside Our Control.

 

14. Intellectual Property

Ezy EdTech remains the owner of the intellectual property in the Product(s). No element of the Product(s) may be reproduced, stored or transmitted in any way or by any means without the prior written permission of Ezy EdTech.

In consideration of the Fee Ezy EdTech grants to the Authorised Representative and the Nominated Students a non-exclusive, non-transferable licence to use the Product(s).

Save as expressly set out in these Terms, the School will ensure that neither the Authorised Representative nor the Nominated Students may modify, copy, reproduce, republish, sub-licence, sell, upload, transmit, make available or distribute in any way any parts of the Product(s) and will indemnify and hold harmless Ezy EdTech for any loss or damage incurred by Ezy EdTech in connection with such breach.

 

15. Data Protection

Ezy EdTech will process the information it receives from the School or otherwise holds about the Authorised Representative or the Nominated Students in accordance with these Terms and its Privacy and Cookie Policy.

In the event that the School does not wish to receive marketing material from Ezy EdTech a request should be made by completing a contact form on the Website.

 

16. General

No one other than the School or Ezy EdTech shall have any right to enforce any of these Terms.

Ezy EdTech may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights or obligations under these Terms.

The School may not assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any or all of its rights or obligations under these Terms without the prior written consent of Ezy EdTech.

If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision shall not affect the validity and enforceability of the rest of these Terms.

Ezy EdTech may update or amend these Terms from time to time to comply with the law or to meet its changing business requirements. Any updates or amendments will be posted on the Website.

These Terms and any matters arising out of or in relation to these Terms are governed by and construed in accordance with the laws of England and Wales.
