These Terms, the Website Terms of Use, Privacy and Cookies Policy and the Acceptable Use Policy apply to the sale of any Product(s). Please read these Terms carefully before purchasing any Product(s). Please click on the Accept button at the end of these Terms to confirm your acceptance of the Terms.  If you refuse to accept these Terms, you will not be able to order any Product(s) from our Website. Please print off a copy of these Terms for your records.

www.ezyeducation.co.uk is operated by Ezy EdTech Limited a company registered in England and Wales with Company Number 14050121 whose registered office is Office C Norland House, 9 Queensdale Crescent, London, England, W11 4TL, VAT Registration Number 412909702.

1. Definitions
   1. Access Page: means the page accessible by the Authorised Representative to undertake the Tasks.
   2. Authorised Representative: means the individual authorised by the School to administer the Products;
   3. Fee: means the price for the Product(s) as set out on the Website;
   4. Materials: means the services provided by Ezy EdTech and available to the Nominated Students details of which are set out here;
   5. Nominated  Student: is a current student of the School who is not a party to these Terms but who has been nominated by the School to have access to the Product;
   6. Package(s): means a combination of the Materials details of which are set out here;
   7. Product: means a Package or any one of the Materials;
   8. School: the educational establishment who wishes to purchase the Products from Ezy EdTech.
   9. Task: means the additional functions available to the Authorised Representative as set out here;
   10. Terms: means these Terms and Conditions;
   11. Website: means http://www.ezyeducation.co.uk
2. Order Procedure
   1. Upon placing an order for any Product(s) the School is offering to purchase the Product(s) in accordance with these Terms.
   2. The School must nominate and provide the name and email address of the individual they wish to be Authorised Representative to administer the Product(s) on behalf of the School.
   3. During the registration process the School will be required to provide details of the Nominated Students including name, username and email address.
   4. The School will authorise the Nominated Students to access and use the Product(s) and acknowledge that any actions of the Nominated Students will be deemed to have been carried out by the School.
   5. Upon receipt of the Schools order for the Product(s) the Authorised Representative will receive an email confirming that the order has been received by Ezy EdTech. The order will be subject to acceptance by Ezy EdTech in accordance with clause 2(d) below.
   6. A legally binding agreement shall not come into existence until Ezy EdTech has (i) accepted the offer to purchase the Product(s) by sending to the Authorised Representative a separate order acceptance confirmation email and (ii) receiving payment for the Product(s) in accordance with clause 3.
   7. Ezy EdTech reserves the right to withdraw at anytime any Product(s) available on the Website.
3. Payment
   1. The Fee for any Product(s) will be displayed on the Website and will be dependant on the number of Nominated Students registered from time to time. The Fee is exclusive of VAT and payment processing fees.
   2. At the point of payment Ezy EdTech will direct you to the secure payment site. Payment processing services are carried out through secure gateways using Paypal.
   3. Ezy EdTech reserves the right from time to time to change the Fees.
   4. The provision of the Product(s) and access to the Website for the Authorised Representative and Nominated Students is subject to Ezy EdTech receiving cleared funds from the School.
4. Product Details and Access
   1. A full description of the Product(s) is available on the Website.
   2. Except as set out in the description of the Product(s) on the Website no additional materials and/or tuition will be provided by Ezy EdTech.
   3. Upon receipt of the confirmation email from Ezy EdTech the Authorised Representative will have access to the relevant Product(s) and the Access Page.
   4. The Nominated Students will receive an email with their login in details and system generated password.  The Nominated Students will be required to change their password on their first visit to the Website and their use will be  subject to the Website Terms of Use, Privacy and Cookies Policy and the Acceptable Use Policy (“Registration”). Following Registration the Nominated Students will be provided access to the Product(s).
   5. The Product(s) may only be accessed by the Authorised Representative and the Nominated Students. Neither the School, Authorised Representative or Nominated Student may transfer their rights to any other person or provide access to the Product(s) to any other person. The School will be responsible for any breach of this provision by the Authorised Representative or Nominated Students and will indemnify and hold harmless Ezy EdTech for any loss or damage incurred by Ezy EdTech in connection with such breach.
   6. The Authorised Representative will have access to the Access Page which will include the ability to review the records of activity for each Nominated Student. The system will provide the Authorised Representative with options to download data detailing activity. It is the responsibility of the Authorised Representative to advise Nominated Students that they have access to records of activity.
   7. The School acknowledges and will notify the Authorised Representative and Nominated Students that charges may be incurred payable their internet service providers whilst they are accessing and/or downloading the Product(s).
   8. Ezy EdTech operates a zero tolerance policy in relation to inappropriate behaviour of Nominated Students. Ezy EdTech reserve the right to suspend access to the Product(s) if you or any of the Nominated Students breaches the Acceptable Use Policy.
   9. Access to and use of any Products is also subject to compliance with the Website Terms of Use.
5. Authorised Representative
   1. The School may change the Authorised Representative from time to time upon notice to Ezy EdTech.
   2. The School will ensure that the Authorised Representative is an employee of the School and will notify Ezy EdTech immediately if the Authorised Representative leaves the employment of the School.
6. System Requirements
   1. Please note that it is the Schools responsibility to check that the computers to be used by the Nominated Students are compatible with the minimum specification requirements that relates to the Product(s). The School acknowledges and accepts that Ezy EdTech cannot be held responsible for any technical problems encountered by the School or any Nominated Students following the purchase of the Product(s).
   2. The minimum system requirements are:
      1. Broadband connection. Minimum download 1mb, upload 500kb
      2. Browser firefox V19+, Google Chrome V25+, IE V10+
      3. Windows XP / 7, MacOS V9+
7. Service Support
   1. If any Nominated Students or Authorised Representative have any issues or problems with the Website or the Product(s) they will need to please complete a contact form on the Website outlining the problems.
   2. Ezy EdTech will endeavour to respond to any query within 48 hours of receipt of the email. The School acknowledges that at busy times the responses times of Ezy EdTech may be longer but if no response is received within 48 hours please resend your email.
8. Modifications
   1. From time to time Ezy EdTech may make modifications, enhancements or issue clarifications to the Product(s). The Authorised Representative and the Nominated Students will be provided with access to such changes free of charge to the extent that the changes affect the Product(s) order.
9. Warranties
   1. Ezy EdTech will provide the Products(s) in accordance with the description which is set out on the Website.
   2. Ezy EdTech expects the School to take reasonable care to verify that the Product(s) ordered meet the Nominated Students needs. Ezy EdTech does not make any commitment that any Nominated Student will obtain any particular result or obtain any particular qualification from the use of the Product(s).
   3. Ezy EdTech does not make any representation, guarantee or commitment that the Product(s) will be error free.
10. Limitation of Liability
    1. Nothing in this agreement limits or excludes the Supplier's liability for:
       1. death or personal injury caused by its negligence;
       2. fraud or fraudulent misrepresentation; or
       3. any other liability which cannot be limited or excluded by applicable law.
    2. Subject to clause 10(a), Ezy EdTech shall not be liable to the School or any Nominated Student, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with this agreement for:
       1. loss of anticipated savings;
       2. loss of or damage to goodwill;
       3. loss of use or corruption of software, data or information;
       4. any indirect or consequential loss.
    3. Subject to clause 10(a) and clause 10(b), Ezy EdTechs total liability to the School, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with this agreement shall be limited to in respect of all claims (connected or unconnected) in any consecutive 12 (twelve) month period, the equivalent of the Fees paid by the School in that period.
    4. The School agrees not to use the Product(s) for any business or re-sale purposes.
11. Events Outside Our Control
    1. Ezy EdTech will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by an Event Outside Our Control. An Event Outside Our Control is defined below in clause 11(b).
    2. An Event Outside Our Control means any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, failure of public or private telecommunications networks or the non-performance of any suppliers to Ezy EdTech which will include any failure of or disruption to any third party software used by Ezy EdTech.
    3. If an Event Outside Our Control takes place that affects the performance of Ezy EdTech obligations:
       1. Ezy EdTech will contact the Authorised Representative as soon as reasonably possible; and
       2. Ezy EdTech obligations will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control.
12. Intellectual Property
    1. Ezy EdTech remain the owner of the intellectual property in the Product(s). No element of the Product(s) may be reproduced, stored or transmitted in any way or by any means without the prior written permission of Ezy EdTech.
    2. In consideration of the Fee Ezy EdTech grants to the Authorised Representative the Nominated Students a non-exclusive, non-transferrable licence to use the Product(s).
    3. Save as expressly set out in these Terms, the School will ensure that the Authorised Representative nor the Nominated Students may not modify, copy, reproduce, republish, sub-licence, sell, upload, transmit, make available or distribute in anyway any parts of the Product(s) and will indemnify and hold harmless Ezy EdTech for any loss or damage incurred by Ezy EdTech in connection with such breach.
13. Data Protection
    1. Ezy EdTech will process the information it receives from the School or otherwise holds about the Authorised Representative or the Nominated Students in accordance with these Terms and its Privacy and Cookie Policy.
    2. In the event that you do not wish to receive marketing material from Ezy EdTech a request should be made by completing a contact form on the website.
14. General
    1. No one other than the School or Ezy EdTech shall have any right to enforce any of its terms.
    2. Ezy EdTech may at any time assign, transfer, mortgage, charge, subcontract or deal in any other manner with all or any of its rights or obligations under these Terms.
    3. The School may not assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any or all of its rights or obligations under these Terms without the prior written consent of Ezy EdTech.
    4. If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these terms.
    5. Ezy EdTech may update or amend these Terms from time to time to comply with the law or to meet its changing business requirements. Any updates or amendments will be posted on the Website.
    6. These Terms and any matters arising out of or in relation to these Terms are governed and construed in accordance with the laws of England and Wales.
